/ 01Acceptance & scope
These Terms of Service ("Terms") form a binding agreement between Zabcore Inc. ("Zabcore", "we", "us") and you ("you", "Customer"). By creating an account, starting a trial, installing the AI Leak Guard browser extension, or using zabcore.com, you agree to these Terms.
These Terms cover the following products:
- PayGuard — the paid invoice-fraud-detection SaaS, sold on a monthly subscription.
- AI Leak Guard — the free, open-source browser extension, licensed under the MIT License (see Section 5).
- zabcore.com — the marketing website.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
/ 02Your account
To use PayGuard, you must create an account using a valid work email address. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at support@zabcore.com if you suspect unauthorized access.
You must be at least 18 years old to create a Zabcore account. PayGuard is intended for business use, not personal use.
Account-level admin actions (inviting team members, changing billing, cancelling) require an active, authenticated session and are logged.
/ 03PayGuard subscription
Subscription fee
PayGuard is offered on a recurring monthly subscription basis. The current price is published on zabcore.com/payguard. Fees are billed in advance at the start of each billing period. All fees are in US Dollars and exclude applicable taxes, which are your responsibility.
Auto-renewal
Subscriptions automatically renew at the end of each billing period until you cancel. Cancelling stops the next renewal but does not refund the current period (except as required by law).
Price changes
We may change pricing for new billing periods. We will provide at least 30 days' notice via email before any price change takes effect for your account. Continuing the subscription after the notice period constitutes acceptance of the new price.
Refund policy
Subscription fees are non-refundable except as required by applicable law. The 14-day free trial is provided so that you can evaluate PayGuard before paying anything.
Cancellation
You may cancel your subscription at any time through your account settings or by emailing support@zabcore.com. After cancellation, your data remains accessible in read-only mode for 30 days, then enters archived state for 60 more days, then is permanently deleted (see Privacy Policy Section 6).
/ 04Free trial terms
PayGuard offers a 14-day free trial. No credit card is required to start. The trial begins when you complete Microsoft 365 connection and ends 14 calendar days later.
During the trial, you have full access to PayGuard's features. If you do not convert to a paid subscription before the trial ends, your account moves to a read-only state for 30 days, during which you can review existing findings but no new invoices are processed.
We reserve the right to limit, suspend, or terminate trial access if we detect abuse (such as repeated trial signups using disposable email or organization-rotation).
/ 05AI Leak Guard license
The AI Leak Guard browser extension is open-source software released by Zabcore under the MIT License. The source code is available at github.com/zabcore/ai-leak-guard.
Under the MIT License, you are free to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the software, subject to the conditions stated in the LICENSE file in the repository.
The MIT License is the operative license for AI Leak Guard. The following sections of these Terms do not apply to AI Leak Guard except as noted: Sections 3 (subscription), 4 (trial), 7 (customer data), 11 (liability — superseded by MIT disclaimer). The MIT disclaimer in the LICENSE file controls.
/ 06Acceptable use
You agree not to:
- Use Zabcore products to violate any law, regulation, or third-party right.
- Use PayGuard to scan email accounts you do not have authorization to scan.
- Attempt to reverse-engineer PayGuard, except to the extent allowed by applicable law.
- Resell, sublicense, or commercially redistribute PayGuard without a written agreement with Zabcore.
- Use Zabcore products to develop a competing product or service.
- Probe, scan, or test the vulnerability of any Zabcore system without prior written authorization (see Security page for responsible disclosure).
- Interfere with the operation of Zabcore systems or other customers' use of the service.
We may suspend or terminate access for violations of this section. Egregious violations may be reported to law enforcement.
/ 07Customer data
Your data, your ownership
You retain all rights to the data you provide to PayGuard (your invoice data, vendor records, account configurations — "Customer Data"). You grant Zabcore a non-exclusive, worldwide license to process Customer Data solely as necessary to provide the PayGuard service.
Fraud intelligence (Vendor Identity Network)
To improve fraud detection across all customers, PayGuard derives anonymized, non-identifying fraud intelligence signals from invoice data (such as bank account fingerprints, domain reputation patterns, vendor identity hashes). This anonymized data forms our Vendor Identity Network, which remains Zabcore proprietary intelligence even after you stop using PayGuard. The Vendor Identity Network never contains your invoice content, your tenant identifiers, or any data that could be traced back to your organization.
Confidentiality
Customer Data is treated as confidential. We restrict internal access on a need-to-know basis and require all employees and contractors to sign confidentiality agreements.
Data deletion on termination
Customer Data is deleted according to the lifecycle in our Privacy Policy: read-only for 30 days after cancellation, archived for 60 more days, then permanently deleted. You may request immediate deletion by emailing support@zabcore.com.
/ 08Zabcore intellectual property
All rights in PayGuard's software, detection algorithms, models, the Vendor Identity Network, the Zabcore name and brand, and all related materials are owned by Zabcore or licensed to Zabcore. No rights are granted to you except the limited subscription rights described in these Terms.
The AI Leak Guard codebase is separately licensed under MIT as described in Section 5. The Zabcore name, logo, and brand are not covered by the MIT License and may not be used to imply endorsement or affiliation without written permission.
/ 09Detection disclaimer
PayGuard and AI Leak Guard are detection and assistance tools. They are not guaranteed to detect every instance of fraud, sensitive data, or risk. You retain final responsibility for all financial decisions, data-handling decisions, and any actions taken in response to (or in the absence of) a detection signal.
/ 10Warranties & disclaimers
We provide PayGuard and AI Leak Guard with reasonable care. We do not warrant that the services will be uninterrupted, error-free, or that detection will identify every instance of fraud or sensitive data.
/ 11Limitation of liability
The 12-month fee cap above acts as the natural ceiling on Zabcore's liability. For users of the free AI Leak Guard extension, the MIT License disclaimer in the repository LICENSE file applies; Zabcore's liability for AI Leak Guard is fully disclaimed under the MIT terms.
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or fraud.
/ 12Indemnification
You agree to defend and indemnify Zabcore from third-party claims arising from (a) your violation of these Terms, (b) your misuse of Zabcore products, (c) your violation of applicable law, or (d) your unauthorized use of email accounts or systems through PayGuard.
This obligation will survive termination of your subscription.
/ 13Termination
You may terminate your subscription at any time as described in Section 3.
Zabcore may suspend or terminate your access for (a) non-payment, (b) violation of these Terms, (c) suspected fraud or abuse, or (d) requirement to comply with law. We will provide reasonable notice except in cases involving security risk or legal obligation.
Upon termination: your access ends, Customer Data follows the deletion lifecycle (Section 7), and the survival sections of these Terms remain in effect (intellectual property, liability, indemnification, disputes).
/ 14Disputes & governing law
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first
If you have a dispute with Zabcore, please contact support@zabcore.com before initiating any legal action. We commit to attempting informal resolution in good faith for at least 60 days.
Binding arbitration
If informal resolution fails, you and Zabcore agree that any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in English, in Wilmington, Delaware, or remotely by agreement. Either party may seek injunctive or other equitable relief in court for intellectual property infringement or unauthorized access claims.
Class action waiver
Opt-out
You may opt out of the arbitration provisions in this Section 14 by emailing support@zabcore.com with the subject "Arbitration Opt-Out" within 30 days of first agreeing to these Terms.
/ 15General provisions
Entire agreement
These Terms (together with the Privacy Policy and any order documents) constitute the entire agreement between you and Zabcore regarding the products.
Changes to these terms
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance by email or in-product notice. Continued use after the change date constitutes acceptance.
Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, government action, internet outages, infrastructure provider failures).
Severability
If any provision of these Terms is held invalid or unenforceable, the remainder will continue in full force.
No waiver
Failure to enforce any provision is not a waiver of future enforcement.

Notices to Zabcore must be sent to hello@zabcore.com. Notices to you may be sent to the email associated with your account.
